Bands & Artists Terms of Service

These Terms of Service ("Terms") govern your use of Merch Raven's merchandise fulfilment platform and subscription plans, operated by Stuart James McGill as trustee for The McGill Family Trust (ABN 87 165 416 989). By subscribing to Merch Raven, you agree to these Terms.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (ACL) or any other applicable law that cannot lawfully be excluded, restricted, or modified. Where these Terms describe a payment as non-refundable, a cancellation as restricted, or liability as limited, that description applies except to the extent the ACL entitles you to a refund, replacement, or other remedy, for example, where there has been a major failure to provide the service with due care and skill.

1. The Service

Merch Raven provides a merchandise fulfilment platform for bands and artists, including Collection setup, product listings, and design mock creation, with print partners across Australia, the USA, Europe, and the UK.

2. Subscription Plans

Merch Raven offers the following plans:

- Pay As You Go, a one-time setup fee plus a recurring monthly fee, with no minimum term. You may cancel at any time, effective at the end of your current billing period.

- Locked In, a recurring monthly fee with no setup fee, in exchange for a minimum term of 6 billing cycles from your first paid invoice.

- Annual, a single upfront annual payment covering 12 months of access, with no separate setup fee.

All prices are quoted in AUD and are inclusive of GST.

3. Onboarding Period

New subscriptions include an onboarding period (currently 7 days) during which we set up your Collection, add your initial products, and create your design mocks, before your first recurring charge applies.

Any one-time setup fee is charged immediately upon signup. Except as required by the Australian Consumer Law, this fee is non-refundable, reflecting the time and work involved in onboarding your Collection regardless of your plan.

4. Minimum Term, Locked In Plan

By subscribing to the Locked In plan, you agree to a minimum commitment of 6 billing cycles from the date your first recurring payment is charged (i.e. following the onboarding period). This minimum term applies because Merch Raven waives the standard setup fee in exchange for this commitment, reflecting the time invested in building your Collection.

You may cancel during the minimum term by paying an Early Termination Fee equal to the setup fee that was waived when you joined this plan (currently $55 AUD).

This fee applies as a flat amount, regardless of how many billing cycles you have already paid, because the work it reflects - building your Collection, listing products, and creating design mocks; is carried out in full during onboarding, before your first monthly charge, not gradually over the term.

Once the Early Termination Fee is paid, your subscription ends at that point, and no further recurring charges apply.

After the minimum term has elapsed, you may cancel at any time, effective at the end of your current billing period, with no Early Termination Fee.

5. Annual Plan

The Annual plan is billed as a single upfront payment covering 12 months of access, offered at a discounted rate in exchange for this commitment. Except as required by the Australian Consumer Law, this payment is non-refundable, including where you stop using the service or cancel before the 12-month period ends.

6. Billing and Payment

Payments are processed via Stripe. By subscribing, you authorise Merch Raven to charge your nominated payment method on a recurring, automatically renewing basis according to your selected plan, until your subscription ends or is cancelled in accordance with these Terms.

Auto-renewal - Your subscription will automatically renew at the end of each billing period (monthly for Pay As You Go and Locked In, annually for the Annual plan) at the then-current price for your plan, unless you cancel in accordance with Section 8, or, for the Locked In plan, before the end of your minimum term as set out in Section 4. We do not require you to re-confirm each renewal, your payment method will be charged automatically. You can view your next billing date and manage your payment method at any time via your customer portal link.

For the Annual plan, we will email you a reminder at least 14 days before your subscription auto-renews for another 12-month period, giving you the opportunity to cancel before you're charged.

If a payment fails, we may retry the charge and/or suspend access to your Collection until payment is resolved.

7. Add-Ons

Additional products, design mocks, and other add-ons are billed separately at the rates displayed at the time of purchase. Except as required by the Australian Consumer Law, these are non-refundable once delivered.

8. Cancellations and Refunds

Except as set out in Section 4 (Locked In minimum term) and Section 5 (Annual plan), you may cancel your subscription at any time.

Cancellation takes effect at the end of your current billing period; no partial refunds are provided for the remainder of a billing period already paid for.

Except as required by the Australian Consumer Law, setup fees are non-refundable once onboarding has commenced.

9. Your Content and Designs

You retain ownership of your band/artist designs and content submitted to Merch Raven. By submitting designs, you grant Merch Raven a licence to reproduce them solely for the purpose of manufacturing, fulfilling, and marketing your merchandise through the platform. You warrant that you own or have the right to use all designs you submit, and that they do not infringe any third party's rights.

Merch Raven and our print partners reserve the right to decline any design that is offensive, discriminatory, infringes copyright, or promotes hate, violence, or illegal activity.

10. Merchandise Fulfilment

Merch Raven coordinates with third-party print partners to fulfil orders. While we take reasonable care in selecting partners, production timelines, quality, and shipping are subject to each partner's own processes and may vary.

11. Limitation of Liability

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law that cannot lawfully be excluded, restricted, or modified.

To the extent our services are not of a kind ordinarily acquired for personal, domestic, or household use, and to the extent permitted under section 64A of the Australian Consumer Law, our liability for breach of a consumer guarantee is limited, at our option, to one or more of: supplying the services again, or paying the cost of having the services supplied again.

For any other claim not covered by a consumer guarantee, and to the maximum extent permitted by law, Merch Raven's liability is limited to the amount you paid in the 3 months preceding the claim.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of Merch Raven after changes take effect constitutes acceptance of the updated Terms. Material changes will be notified via email where practical.

These Terms are governed by the laws of Western Australia, Australia.
